Ken Rosen, California
Professor of Real Estate and Urban Economics, Haas
School of Business, UC Berkeley
Ken Rosen is Chairman of Rosen Consulting Group, a real estate
market research firm, and Chairman of Rosen Real Estate Securities,
a REIT money manager with approximately $130 million in assets
under management. He was formerly Chairman, Founder and Portfolio
Manager of Lend Lease Rosen Securities, a $3 billion REIT
money management firm which he sold in 2004. In addition,
Mr. Rosen is a Chairman of the Fisher Center for Real Estate
and Urban Economics and Professor Emeritus at the Haas School
of Business at the University of California, Berkeley.
In prior business ventures, Mr. Rosen co-founded Regional
Data Associates (RDA) in 1976, a leading real estate
forecasting firm. RDA was sold to Chase Manhattan Bank
in 1982 and became part of the Chase Econometric forecasting
system. In 1985, he joined Salomon Brothers Inc. as Consultant/Managing
Director and founded the firm's Real Estate Research
Department, which was recognized as Wall Street's leading
real estate research group.
Mr. Rosen received his Ph.D. from Massachusetts Institute
of Technology in Economics in 1974 and a B.A. with highest
honors from University of Connecticut in 1970. He was a
Professor of Economics at Princeton University from 1975
to 1979. He is a trustee of the Urban Land Institute and
a member of the board of directors of several private corporations
that deal with real estate finance and development. He
has authored over 100 articles and four books on real estate
and real estate finance.

Robert Falzon, Managing Director
of the Global Real Estate Merchant Banking Group, Prudential
Real Estate Investors (PREI)
Managing Director, Prudential Real Estate Investors Mr. Falzon
is a Managing Director at Prudential Real Estate Investors
(Prudential) and head of Prudential's Global Merchant Banking
Group. He is a Senior Portfolio Manager, a member of Prudential's
Investment Committee's in the U.S. and Asia, and a member
of Prudential's Executive Management Committee. Before joining
Prudential in June 1998, Mr. Falzon was a Managing Director
in the Investment Banking Group at Prudential Securities
Incorporated (PSI) in New York. Mr. Falzon joined PSI in
1992, has managed numerous public and private equity offerings
and has worked extensively in mergers and acquisitions. Previously,
Mr. Falzon worked for nine years in the private placement
area at Prudential, eventually rising to head of the Northeast
Regional Investment Group. While there, he managed a $4.6
billion portfolio of debt and equity securities.
Mr. Falzon currently serves on the Board of Directors of
several private and public companies. He is also a member
of the CFA Institute (CFA), the New York Society of Security
Analysts (NYSSA), the American Institute of Certified Public
Accountants (AICPA), and the National Association of Real
Estate Investment Trusts (NAREIT). Mr. Falzon holds an M.B.A.
degree in Finance and Accounting from Columbia University
and graduated Magna Cum Laude and a Phi Beta Kappa with a
B.A. degree in Economics from Rutgers University. In addition,
he is a CFA charter holder and a Certified Public Accountant. |

Michael Levy, Managing Director
of the Real Estate Investment Banking Group, Morgan
Stanley
Michael Levy is a Managing Director in investment banking
responsible for the firm's real estate advisory, capital
raising and
investing practice in the Western U.S. He is also responsible
for the firm's global lodging advisory business.
He has extensive experience providing advisory and capital
raising services to public and private real estate and hospitality
companies and has worked with industry participants in all
real estate sectors. These activities include merger and
acquisition assignments, corporate restructurings and recapitalizations,
public and private equity and debt financings and real estate
investments.
Michael is a member of the group's real estate investment
committee as well as IREFAC, The Real Estate Roundtable's
Capital Markets Committee, ULI'sHotel Development Council,
and the New York State Bar Association. He received a B.S.
from NYU Stern and a J.D. from Brooklyn Law School.

Peter B. Bedford, Bedford Investments, former CEO and Chairman of the Board of Bedford Properties
Mr. Bedford is currently the owner of Bedford Investments and
had been the Chairman of the Board and Chief Executive Officer
of Bedford Property Investors, Inc., a real estate business,
primarily in the Western United States, for over 40 years
and has been responsible for the acquisition, ownership,
development and management of an aggregate of over 30 million square
feet of industrial, office and retail properties, as well as land, in
14 states. mr. Bedford is currently Chairman of the Board of Overseers
of the Hoover Institution, a public policy research center; serves on
the Board of Directors of Bixby Ranch Company, a real estate investment
company; and is an advisor to First American Title Guarantee Co., a title
insurance company. He is the recipient of numerous awards recognizing
his contributions to the real estate industry and serves as a governor
of the Urban Land Foundation. His previous experience also includes serving
on the Board of Directors of the Bank of America from 1986 to 1999 and
on the Board of Kaiser Aluminum & Chemical
Company from 1980 to 1986. Mr Bedford has served as Vice
Chairman of the National Realty Committee, and Chairman of
the Real Estate Advisory Board of the Wharton School of Business.
Mr. Bedford received his B.A. in Economics from Standford University.

Procter LLP
Ed Glazer, a partner in Goodwin Procter's Business Law
Department and a member of its REITs & Real Estate Capital
Markets, Real Estate Investment Management and Tax Practices,
focuses principally on structuring and implementing tax-oriented
commercial transactions of all types, including real estate
and venture capital transactions, mergers and acquisitions,
pension investments in real estate involving issues of unrelated
business taxable income, leveraged financings, and workout
and debt restructurings. Mr. Glazer regularly advises clients
in structuring collective investment vehicles, in structuring
real estate securitizations, in forming and operating public
and private REITs and in forming real estate funds. He has
been selected for inclusion in Best Lawyers in America. |
